Windon Energy Group Forms Joint Venture to Advance RidgeBlade Wind Technology

Windon Energy Group AB has announced a letter of intent to form a joint venture with Morten Lindholdt and Igor Rogelj, the key figures behind RidgeBlade, a modular wind power system. The goal is to further develop and commercialize RidgeBlade technology under a new brand.

The Deal

The joint venture, to be established as a Swedish limited company, will have the following ownership structure:

  • Windon Energy Group AB: 60%
  • Igor Rogelj: 20%
  • Morten Lindholdt: 20%

Each party will contribute assets and expertise to Newco. Lindholdt and Rogelj will provide the RidgeBlade technology, know-how, and experience. Windon will contribute development work, technical improvements, and commercial infrastructure from their collaboration that began in 2024.

Newco will operate as a separate entity, financially independent of Windon Energy Group’s other activities.

From Distribution to Development Partnership

Initially, Windon planned to be a distributor for RidgeBlade, as announced in February 2024. However, testing revealed that the technology needed more development before commercial launch. The parties decided to restructure the collaboration into a joint venture, sharing both the responsibilities of product development and the potential commercial upside.

About RidgeBlade Technology

RidgeBlade is designed for installation on roof ridges. Development has progressed from theoretical analysis and wind tunnel testing to real-world testing, focusing on verifying performance and refining the design under realistic operating conditions.

Financing the Future

Newco will seek external funding for product development, certifications, and market introduction, beyond the initial contributions from its founders.

Next Steps

The parties will conduct a due diligence process to formalize the collaboration and structure the assets to be transferred to Newco. The aim is to sign definitive agreements and formally establish Newco by Q1 2026.

Financial Impact

Windon anticipates that the transaction will not significantly impact its financial position, as Newco will be financed separately. Further details will be provided upon the signing of definitive agreements and the formation of Newco.
